BUYSIDE STUDIO LLC — TERMS OF USE

BuySide Studio LLC (“BuySide Studio,” “we,” “us,” or “our”)
Governing Law: State of Texas (Travis County)

These Terms of Use (“Terms”) govern your access to and use of all products and services offered by BuySide Studio LLC, including but not limited to cohort programs, masterclasses, coaching sessions, course materials, digital downloads, videos, community platforms, and any related content (collectively, the “Services”). By enrolling in a cohort, accessing our content, or using our Services, you agree to be bound by these Terms.

 

ARTICLE 1 — PAYMENTS, BILLING & REFUNDS

1.1 Payments

You agree to pay all fees associated with the purchase or use of the Services. All payments must be made in full at the time of purchase unless otherwise agreed to in writing.

1.2 No Refunds

All sales are final.
BuySide Studio does not offer refunds, returns, or cancellations for any reason, including but not limited to schedule conflicts, changes in personal circumstances, failure to attend sessions, dissatisfaction with instructor style, or inability to use or access course materials.

1.3 Credits

In limited cases and solely at our discretion, we may choose to offer a future credit. A discretionary credit does not constitute a modification of this no-refund policy.

1.4 Chargebacks

You agree not to initiate any chargeback or payment dispute. All chargebacks will incur a $50 administrative assessment, and your access to the Services will be immediately suspended.

1.5 Installment Plans

If available, installment plans must be paid on schedule. Missed or failed payments will result in suspension and potential removal from the cohort without refund.

 

ARTICLE 2 — DEFINITIONS

• “Account” means your individual access profile created through our platform.
  
  
• “Content” includes all videos, slides, templates, frameworks, recordings, documents, worksheets, and digital materials.
  
  
• “Community” includes all online groups, forums, discussion hubs, and student networks managed by BuySide Studio.
  
  
• “Cohort Programs” include the BuySide Masterclass, Networking Masterclass, Valuation & Modeling modules, Structuring modules, coaching sessions, and any live or pre-recorded educational sessions.
  
  

ARTICLE 3 — ACCOUNTS

3.1 Accuracy of Information

You agree to provide accurate and complete information when creating your Account.

3.2 Non-Transferability

Accounts, cohort seats, coaching packages, and access rights are non-transferable. You may not share, sell, gift, or otherwise transfer your access to any other individual.

3.3 Account Suspension

We may suspend or terminate your Account for violations of these Terms or disruptive behavior, without refund.

 

ARTICLE 4 — USE RIGHTS & RESTRICTIONS

4.1 License

Upon purchase, BuySide Studio grants you a limited, non-exclusive, non-transferable, revocable license to access the Services for your personal, non-commercial use.

4.2 Prohibited Conduct

You agree not to:

• Share, copy, reproduce, distribute, or publish any Content.
  
  
• Record live sessions or redistribute recordings.
  
  
• Use the Content to create or support a competing product, course, program, or service.
  
  
• Share proprietary frameworks, templates, or materials with third parties.
  
  
• Harass, abuse, or disrupt instructors or students.
  
  

4.3 Ownership of IP

All materials—including videos, slides, images, scripts, curricula, frameworks, and methodologies—are the exclusive intellectual property of BuySide Studio LLC and its instructors.

4.4 Consequences of Violation

Any violation may result in:

• Immediate removal from all Services without refund
  
  
• Permanent ban
  
  
• Legal action for infringement, damages, and injunctive relief
  
   

ARTICLE 5 — DATA PROTECTION & PRIVACY

5.1 Your Data

You own your personal data. We process your information only to operate and deliver the Services.

5.2 Privacy Policy

Use of the Services is also governed by our Privacy Policy (posted separately).

5.3 Data Availability

We are not liable for loss, corruption, or unavailability of data.

 

ARTICLE 6 — FEES & FINANCIAL TERMS

6.1 Price Changes

Pricing is subject to change at any time.

6.2 Taxes

You are responsible for all applicable taxes, duties, and assessments.

6.3 Access Period

Cohort-related content may have limited-time access windows. BuySide Studio may change access periods at its discretion.

 

ARTICLE 7 — CONFIDENTIALITY & USE OF NAME

7.1 Confidentiality

All non-public information shared within cohorts or Communities—including student interactions, instructor insights, frameworks, or discussions—is confidential and may not be reproduced or disclosed.

7.2 Use of Names

You may not use BuySide Studio’s name, instructor names, branding, logos, or materials for commercial purposes without express written permission.

 

ARTICLE 8 — TERM & TERMINATION

8.1 Term

Your access begins upon purchase and continues for the duration specified in your enrollment or subscription.

8.2 Termination for Cause

BuySide Studio may terminate your access for any violation of these Terms, without refund.

8.3 Post-Termination

Upon termination, all rights granted to you are revoked. You must immediately discontinue all use of the Content.

 

ARTICLE 9 — WARRANTIES, LIABILITY & INDEMNITY

9.1 No Guarantees

BuySide Studio does not guarantee:

• Job placement
  
  
• Internship placement
  
  
• Interview outcomes
  
  
• Financial gains
  
  
• Admissions success
  
  
• Performance results
  
  

9.2 Disclaimer

The Services are provided “as is” without warranties of any kind.

9.3 Limitation of Liability

BuySide Studio’s total liability is limited to the amount paid by you for the Services.

9.4 Indemnity

You agree to indemnify and hold BuySide Studio harmless from:

• Misuse of the Services
  
  
• Breach of these Terms
  
  
• Violation of law
  
  
• Infringement of third-party rights
  
   

ARTICLE 10 — GENERAL PROVISIONS

10.1 Governing Law & Venue

These Terms are governed by the laws of the State of Texas, and any dispute shall be resolved exclusively in the state or federal courts located in Travis County, Texas.

10.2 Arbitration (Optional but Included)

BuySide Studio may require that disputes be resolved by binding arbitration in Austin, Texas.

10.3 Modifications

BuySide Studio may update these Terms at any time. Continued use of the Services constitutes acceptance.

10.4 Entire Agreement

These Terms constitute the full agreement between you and BuySide Studio regarding the Services.
